Loop Travel Booking Terms and Conditions

These Travel Booking Terms and Conditions form a legal agreement between you, as a Loop Client, and Loop Financial Inc. and its subsidiaries ("Loop", "we", "us", or "our") and govern your access to and use of the travel booking functionality made available through the Loop dashboard or portal ("Loop Travel").

Please read these Travel Booking Terms and Conditions carefully. They contain important information about booking flights and hotels through Loop Travel, including the use of Loop reward points, cash, or a combination of points and cash.

By accessing or using Loop Travel, searching for travel, submitting a booking request, redeeming Loop reward points for travel, or completing a booking, you acknowledge and agree to these Travel Booking Terms and Conditions.

Your use of Loop Travel is also subject to all other applicable Loop agreements, terms, and policies, including your Loop Platform Agreement, your Loop Rewards Terms and Conditions, your Multi-Currency Account Agreement, your Loop Business Cardholder Agreement, and Loop's Privacy Policy, and which constitute the entire agreement between you and Loop with respect to the subject matter herein.

1. Definitions

In these Travel Booking Terms and Conditions, the following terms have the meanings set out below:

"Booking" means a flight, hotel, or other travel-related reservation made through Loop Travel.

"Cash Portion" means the portion of a Booking paid using your Loop Account Balance or another accepted payment method, rather than Loop reward points.

"Duffel" means Duffel Technology Ltd. or its affiliates, service providers, or partners, as applicable, that facilitate travel booking, payment processing, fulfillment, servicing, and customer support for Bookings made through Loop Travel.

"Loop Account Balance" means the funds available in one or more multi-currency accounts of a Loop Client pursuant to the Loop Platform Agreement, the Loop Multi-Currency Account Agreement or other account agreement as applicable.

"Loop Client" means a verified business entity that maintains an active account with Loop pursuant to the Loop Platform Agreement.

"Loop Travel" means the travel booking functionality made available through the Loop dashboard or portal, which allows eligible Loop Clients to search for and book flights, hotels, or other travel services from Providers using Loop reward points, cash, or a combination of points and cash.

"Odynn" means Odynn Inc. or its affiliates, service providers, or partners, as applicable, that provide the embedded travel booking interface made available through the Loop dashboard or portal.

"Points Portion" means the portion of a Booking paid using Loop reward points.

"Provider" means any airline, hotel, accommodation provider, travel supplier, distribution partner, payment processor, technology provider, or other third party involved in making travel inventory, booking functionality, payment processing, fulfillment, or customer support available through Loop Travel, and includes Odynn and Duffel.

"Rewards" or "points" has the meaning given to that term in the Loop Rewards Terms and Conditions.

All other capitalized terms used but not defined in these Travel Booking Terms and Conditions have the meaning given to them in the applicable Loop agreement, including the Loop Rewards Terms and Conditions.

2. Overview of Loop Travel

Loop Travel allows eligible Loop Clients to access a travel booking experience through the Loop dashboard. Through Loop Travel, you may be able to search for and book eligible flights and hotels using Loop reward points, cash, or a combination of points and cash, subject to availability and applicable terms.

Loop Travel is made available through technology and services provided by third party Providers. Odynn provides the embedded travel booking interface displayed within the Loop dashboard. Duffel facilitates the underlying travel booking, payment processing, fulfillment, servicing, and customer support for Bookings made with its suppliers, which are also third party Providers.

Loop is not an airline, hotel, travel agency, tour operator, accommodation provider, payment processor for the travel booking, or provider of travel services. Loop makes Loop Travel available as a convenience to eligible Loop Clients and enables the redemption of Loop reward points toward eligible Bookings. By using Loop Travel, you acknowledge and agree that Loop shall not be responsible or liable for any actions or omissions of Providers, that you shall comply with all terms and conditions of such Providers, and that you shall have no recourse to Loop with respect to any Bookings or use of such Providers. Any issues with respect to Bookings or Providers must be dealt with as between you and the applicable Provider(s).

3. Eligibility

Loop Travel is available only to Loop Clients who have access to the Loop dashboard and whose Loop account is open and in good standing.

Loop may determine, in its sole discretion, whether a Loop Client is eligible to access or use Loop Travel. Loop may restrict, suspend, or terminate access to Loop Travel at any time, including where your Loop account is not in good standing, where access is required to be restricted by law, where misuse or suspected misuse occurs, or where Loop Travel is no longer available.

Authorized users of a Loop Client account may be able to access Loop Travel and complete Bookings on behalf of the Loop Client. You are responsible for all actions taken by your authorized users through Loop Travel, including searches, Bookings, payment authorizations, redemptions of Rewards, cancellations, changes, and communications with Providers.

4. Third-Party Terms

Bookings made through Loop Travel are provided, processed, fulfilled, and serviced by third-party Providers, including Duffel, airlines, hotels, accommodation providers, fare providers, payment processors, and other travel suppliers. The embedded booking interface is provided by Odynn.

Bookings may be subject to additional terms and conditions, including those of such third-party Providers, including Duffel, airlines, hotels, accommodation providers, fare providers, payment processors, and other travel suppliers. Odynn's terms may also apply to the embedded interface and related technology used to make Loop Travel available.

By using Loop Travel, you acknowledge and agree that:

  • your Booking may be subject to Provider terms, conditions, rules, restrictions, cancellation policies, refund policies, fare rules, baggage policies, hotel policies, check-in requirements, and other travel-related conditions, including service fees, airport fees, other incidental fees and taxes;
  • you are responsible for reviewing all applicable Provider terms before completing a Booking;
  • Provider terms may limit or prohibit cancellations, changes, refunds, credits, name corrections, baggage allowances, upgrades, seat selection, hotel changes, early check-in, late check-out, or other modifications;
  • Loop is not responsible for the acts, omissions, errors, delays, policies, availability, insolvency, or performance of any Provider; and
  • in the event of a conflict between these Travel Booking Terms and Conditions and the specific terms of a Provider relating to a Booking, the applicable Provider terms will govern the travel service, cancellation, change, fulfillment, or refund process.

5. Searching and Availability

Travel inventory, prices, routes, fares, rooms, rates, fees, taxes, availability, cancellation terms, and other Booking details displayed through Loop Travel are provided by or through Providers.

Availability and pricing may change at any time before a Booking is completed. A search result does not guarantee that the displayed flight, hotel, fare, rate, room, or price will remain available.

Loop does not guarantee the availability, accuracy, completeness, or suitability of any travel inventory, search result, travel description, price, fee, tax, restriction, image, amenity, rating, schedule, fare class, baggage allowance, cancellation policy, hotel policy, or other information displayed through Loop Travel.

You are responsible for carefully reviewing all Booking details before completing a Booking, including traveller names, travel dates, destinations, flight times, airports, hotel locations, room types, cancellation policies, payment amounts, taxes, fees, and any restrictions.

6. Completing a Booking

A Booking is not complete until it has been confirmed by Duffel or the applicable Provider. After you submit a Booking request, the Booking may still be subject to confirmation, payment authorization, ticketing, fraud checks, inventory availability, and Provider acceptance.

Loop, Duffel, Odynn, or a Provider may decline, cancel, or fail to complete a Booking where the Booking cannot be confirmed, the inventory is no longer available, the price has changed, payment cannot be processed, required information is incomplete or inaccurate, fraud or misuse is suspected, or the Booking cannot be completed for any other reason.

You are responsible for ensuring that all information provided in connection with a Booking is accurate and complete. This includes traveller names, dates of birth, passport or travel document information, loyalty program details, contact information, payment information, and any special requests. Traveller names must match applicable government-issued identification and travel documents.

Loop is not responsible for losses, additional costs, denied boarding, denied check-in, cancellation, rebooking costs, or other issues arising from inaccurate, incomplete, or mismatched information provided by you or your authorized users.

7. Payment Using Points, Cash, or Points and Cash

Eligible Bookings may be paid for using Loop reward points, cash, or a combination of points and cash, where available.

The payment options available for a Booking will be shown at the time of checkout. Loop may determine, modify, restrict, or discontinue the ability to use points, cash, or a combination of points and cash for any Booking or category of Bookings at any time.

Where you use points for all or part of a Booking:

  • the applicable number of points will be shown before you complete the Booking;
  • your Loop Rewards Account must have a sufficient available points balance at the time of redemption;
  • points will be deducted from your Loop Rewards Account when the redemption is processed;
  • the redemption value of points may vary by Booking, inventory, Provider, date, destination, or other factors;
  • points have no cash value except as expressly provided by Loop; and
  • once submitted, a points redemption may not be reversible except where a refund or credit is made available under the applicable Booking terms.

Where you pay all or part of a Booking in cash, the Cash Portion may include the base fare or room rate, taxes, fees, service charges, payment processing charges, Provider charges, and any other applicable amounts shown at checkout.

You authorize the applicable payment processor, including Duffel or its payment processing partners, to charge the Cash Portion and any applicable taxes, fees, penalties, or additional charges to your Loop Account Balance or any alternative payment method selected at the time of checkout. Loop is not responsible for the payment of any fees, taxes or other amounts on behalf of any Loop Client to any Provider with respect to a Booking.

8. Reward Points Redemptions for Travel

Redemption of Loop reward points through Loop Travel is also subject to the Loop Rewards Terms and Conditions. If your Loop account is not in good standing, Loop may restrict your ability to redeem points through Loop Travel.

Loop may determine the rate, value, or method by which points may be redeemed toward Bookings. Redemption values may vary and may not correspond to any fixed cash equivalent.

Points cannot be sold, transferred, assigned, exchanged for cash, or used outside the redemption options made available by Loop. Loop may correct errors in points balances, redemption values, or Booking prices at any time.

If a Booking is cancelled, changed, refunded, voided, or otherwise adjusted, the treatment of any Points Portion will depend on the applicable Provider terms, the refund or credit actually made available by the Provider, and Loop's Rewards Terms and Conditions. Any refund of points, if available, may differ from the original number of points redeemed due to fees, penalties, partial refunds, Provider restrictions, currency conversion, or other adjustments.

9. Taxes, Fees, Charges, and Currency

Booking prices may include or exclude taxes, fees, surcharges, resort fees, baggage fees, seat selection fees, change fees, cancellation fees, service fees, local taxes, tourism levies, hotel deposits, incidental charges, foreign exchange charges, or other amounts.

Some fees or charges may be payable directly to the Provider and may not be included in the amount shown or paid through Loop Travel. For example, hotels may charge resort fees, deposits, local taxes, parking fees, early check-in fees, late check-out fees, or incidental charges directly at the property.

You are responsible for all taxes, fees, charges, penalties, and additional costs associated with your Booking. Loop is not responsible for the payment of any such amounts on behalf of any Loop Client to any Provider with respect to a Booking.

If a Booking or charge involves currency conversion, the applicable exchange rate, conversion methodology, and any related fees may be determined by the applicable Provider, payment processor, card network, financial institution, or Loop, as applicable. Exchange rates may differ from rates available elsewhere and may change over time.

10. Cancellations, Changes, Refunds, and Credits

Cancellation, change, refund, and credit eligibility is determined by the applicable Provider terms and the specific rules of your Booking. Some Bookings may be non-refundable, non-changeable, or subject to penalties or fees.

You are responsible for reviewing the cancellation and change terms before completing a Booking.

Requests to cancel, change, modify, or refund a Booking must be made through the support channels made available for Loop Travel or as otherwise directed in your Booking confirmation. Duffel, the applicable airline, hotel, accommodation provider, payment processor, or other travel supplier will generally be responsible for servicing these requests. Loop is not responsible for processing cancellations, changes, refunds, credits, or travel support requests unless expressly stated otherwise.

Loop does not guarantee that any Booking can be cancelled, changed, refunded, credited, or modified. Loop is not responsible for Provider decisions, delays, fees, penalties, or refusal to provide a cancellation, change, refund, credit, or other accommodation.

If a refund is available, the amount and method of refund may depend on the Provider terms, the original payment method, the Points Portion, the Cash Portion, taxes, fees, penalties, and any applicable processing rules. Refunds may be issued as cash, points, Provider credit, travel credit, voucher, or another form determined by the Provider or Loop, as applicable.

Refunds, if any, may take time to process. Loop is not responsible for delays caused by Providers, payment processors, card networks, financial institutions, or other third parties.

11. Flight-Specific Terms

Flight Bookings are subject to the rules and restrictions of the applicable airline, fare provider, and other Providers.

You are responsible for reviewing and complying with all flight-related requirements, including:

  • traveller name accuracy;
  • passport, visa, and entry requirements;
  • health, vaccination, or testing requirements;
  • baggage rules and fees;
  • check-in deadlines;
  • boarding requirements;
  • schedule changes;
  • fare rules;
  • airline cancellation and change policies; and
  • rules for missed flights, no-shows, and connecting flights.

Airlines may change, delay, cancel, or reschedule flights. Airline schedules, seat assignments, aircraft, routes, terminals, amenities, baggage allowances, and services may change without notice.

Loop is not responsible for flight delays, cancellations, missed connections, denied boarding, schedule changes, baggage issues, airline insolvency, strikes, weather events, airport disruptions, security issues, or other airline or travel disruptions.

12. Hotel-Specific Terms

Hotel Bookings are subject to the rules and restrictions of the applicable hotel, accommodation provider, rate provider, and other Providers.

You are responsible for reviewing and complying with all hotel-related requirements, including:

  • check-in and check-out times;
  • guest name accuracy;
  • age requirements;
  • occupancy limits;
  • cancellation and no-show policies;
  • deposit and incidental hold requirements;
  • resort fees and local taxes;
  • parking, amenity, and service fees;
  • pet, smoking, accessibility, and property-specific rules; and
  • identification and payment card requirements at check-in.

Hotel descriptions, images, amenities, ratings, and availability are provided by or through Providers. Loop does not guarantee that any hotel description, image, amenity, rating, room type, location, or availability is accurate, complete, or current.

Loop is not responsible for hotel overbookings, denied check-in, room quality, room availability, property condition, amenities, service levels, fees charged at the property, or disputes between you and a hotel or accommodation provider.

13. Travel Documents, Entry Requirements, and Traveller Responsibilities

You are solely responsible for ensuring that all travellers have valid passports, visas, permits, identification, health documents, authorizations, and other documents required for travel.

You are also responsible for understanding and complying with all applicable laws, rules, advisories, sanctions, travel restrictions, health requirements, and entry or exit requirements for each destination, transit point, airline, hotel, and Provider.

Loop does not provide legal, immigration, tax, health, safety, or travel advisory advice. Loop is not responsible if a traveller is denied boarding, denied entry, denied check-in, quarantined, deported, delayed, fined, or otherwise affected due to failure to satisfy travel requirements.

14. Business Travel Use

Loop Travel is made available to Loop Clients for business use only. You are responsible for ensuring that any Booking made through Loop Travel complies with your internal policies, expense policies, approval requirements, tax obligations, and applicable laws.

Loop is not responsible for determining whether a Booking is appropriate, authorized, reimbursable, deductible, compliant with your internal policies, or suitable for any particular business purpose.

15. Customer Support

Support for Bookings made through Loop Travel is provided by Duffel, applicable travel Providers, or other third-party support teams. Loop may help direct you to the appropriate support channel, but Duffel and the applicable travel Providers are generally responsible for Booking servicing, including ticketing, cancellations, changes, refunds, travel disruptions, and other Booking-related support.

Loop is not responsible for travel booking fulfillment, payment processing, cancellations, changes, refunds, credits, rebookings, or customer support unless expressly stated otherwise.

Support availability, response times, servicing options, and outcomes may vary depending on the Booking, Provider, travel date, issue, and applicable terms.

Loop does not guarantee any support outcome, refund, change, cancellation, credit, rebooking, compensation, or Provider response.

16. Use of Personal Information

To provide Loop Travel, Loop may collect, use, disclose, transfer, and otherwise process information about you, your business, your authorized users, travellers, Bookings, payment methods, Rewards, and account activity.

This information may be shared with Providers and service providers as required to make Loop Travel available, process Bookings, redeem points, process payments, provide support, prevent fraud, comply with law, and administer the Loop platform. This may include sharing information with Odynn to provide and operate the embedded booking interface, with Duffel to facilitate travel booking, payment processing, fulfillment, servicing, and customer support, and with airlines, hotels, payment processors, travel suppliers, technology providers, support providers, fraud prevention providers, and other service providers.

When you use Loop Travel, you consent to Loop sharing information with these Providers. Provider use of personal information may be subject to their own privacy policies, terms of service, and legal obligations. Loop is not responsible for the privacy practices of Providers.

You are responsible for ensuring that you have obtained all necessary consents and authorizations to provide traveller information through Loop Travel, including information relating to employees, contractors, guests, or other individuals for whom you make a Booking.

Loop's collection, use, and disclosure of personal information is described in Loop's Privacy Policy.

17. Fraud, Misuse, and Prohibited Activity

You may not use Loop Travel for fraudulent, unlawful, abusive, speculative, or unauthorized purposes.

Without limiting the above, you may not:

  • make Bookings using inaccurate, false, or unauthorized information;
  • redeem points that you are not authorized to use;
  • resell, broker, or commercially exploit Bookings unless expressly permitted;
  • attempt to manipulate pricing, availability, rewards, refunds, credits, or Provider systems;
  • use Loop Travel in violation of sanctions, anti-money laundering, anti-bribery, anti-corruption, or other applicable laws;
  • interfere with or disrupt Loop Travel, the embedded iframe, Provider systems, or the Loop dashboard; or
  • attempt to bypass eligibility, payment, redemption, security, or fraud controls.

Loop may restrict, suspend, cancel, or terminate your access to Loop Travel, cancel or reverse redemptions, freeze or deduct points, decline Bookings, or take any other action we consider appropriate where we suspect fraud, misuse, error, unauthorized activity, legal risk, or violation of these Travel Booking Terms and Conditions or any other Loop terms.

18. Errors and Corrections

Loop Travel may contain errors, inaccuracies, omissions, delays, or outdated information, including with respect to prices, availability, fees, taxes, Provider terms, images, descriptions, schedules, or reward redemption values.

Loop, Odynn, Duffel, and Providers may correct errors at any time, including after a Booking request has been submitted. A Booking may be cancelled or adjusted if it resulted from an error, inaccurate price, unavailable inventory, incorrect reward redemption value, payment issue, or other technical or operational issue.

Loop is not obligated to honour any Booking, price, fare, rate, reward redemption value, or other term that was displayed or processed in error.

19. Availability of Loop Travel

Loop may modify, replace, suspend, restrict, or discontinue Loop Travel, in whole or in part, at any time, with or without notice.

Loop does not guarantee that Loop Travel will be uninterrupted, secure, error-free, or available at any particular time or location. Loop is not responsible for technical issues, outages, iframe errors, Provider outages, payment processing failures, dashboard issues, connectivity problems, data delays, or other disruptions.

20. No Travel Advice or Warranty

Loop does not recommend, endorse, warrant, or guarantee any airline, hotel, destination, route, fare, rate, room, Provider, travel service, or travel outcome.

Loop Travel is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Loop disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, non-infringement, and suitability for travel.

Without limiting the generality of the foregoing, Loop makes no representation or warranty: (i) that the Loop Travel will meet your requirements, be uninterrupted, error-free or free from vulnerabilities; (ii) in respect of the Providers or any Booking; and (iii) that Loop Travel will comply with any network and information security and other cybersecurity requirements at law which are not applicable Loop. Loop is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and you acknowledge that the Loop Travel may be subject to limitations, delays and other problems inherent in the use of such facilities.

You are solely responsible for determining whether a Booking is suitable for your needs.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Loop will not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages, or for any loss of profits, revenue, business, goodwill, data, travel opportunity, savings, or use, arising out of or related to Loop Travel or any Booking, including with respect to any Provider.

Without limiting the above, Loop is not liable for any loss, cost, damage, delay, cancellation, denied boarding, denied check-in, missed connection, refund denial, Provider dispute, travel disruption, injury, illness, death, property damage, baggage issue, accommodation issue, or other claim (each a "Claim") arising from or related to:

  • acts or omissions of Providers;
  • airline or hotel policies;
  • inaccurate or incomplete information provided by you;
  • travel restrictions or entry requirements;
  • payment processing issues;
  • reward redemption issues caused by Providers or errors;
  • technical issues involving the embedded booking interface, Odynn, Duffel, applicable Providers, payment processors, or other third-party systems;
  • cancellation, change, refund, or credit decisions;
  • travel delays, disruptions, weather, strikes, force majeure events, or government actions; or
  • your use of or inability to use Loop Travel.

To the fullest extent permitted by applicable law, Loop's aggregate liability for Claims arising out of or related to Loop Travel or any Booking will not exceed $100 in the aggregate, irrespective of the nature of any Claim, including whether due to breach of contract, negligence, tort or any other legal theory, and regardless of the number of Claims.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, Loop's liability will be limited to the maximum extent permitted by law.

22. Indemnity

You agree to indemnify and hold harmless Loop, its affiliates, directors, officers, employees, agents, partners, and service providers from and against any claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of Loop Travel;
  • any Booking made by you or your authorized users;
  • information provided by you or your authorized users;
  • your breach of these Travel Booking Terms and Conditions or any Provider terms;
  • your violation of applicable law;
  • your failure to obtain required consents from travellers; or
  • any dispute between you, your authorized users, travellers, and any Provider.

23. Amendments

Subject to applicable law, Loop may amend these Travel Booking Terms and Conditions at any time. Changes may include, but are not limited to:

  • changing eligibility for Loop Travel;
  • changing how points may be redeemed for travel;
  • changing available payment methods;
  • changing available travel categories, Providers, or booking options;
  • adding, removing, or modifying fees;
  • changing cancellation, refund, or support processes;
  • changing fraud, misuse, or eligibility controls; or
  • suspending or discontinuing Loop Travel.

The updated version of these Travel Booking Terms and Conditions will be made available through the Loop dashboard, portal, website, or other method determined by Loop. Your continued use of Loop Travel after changes are made means you accept the updated terms.

24. Termination

Loop may terminate, suspend, or restrict your access to Loop Travel at any time for any reason, with or without notice, including if:

  • your Loop account is closed, suspended, restricted, or not in good standing;
  • you breach these Travel Booking Terms and Conditions or any other Loop terms;
  • Loop suspects fraud, misuse, unauthorized activity, or legal risk;
  • Loop Travel is discontinued;
  • Loop is required to do so by law, regulation, card network requirement, Provider requirement, or operational necessity.

Termination or suspension of Loop Travel does not affect any completed Booking, except as may be required by law, Provider terms, or operational requirements. Existing Bookings will remain subject to the applicable Provider terms, with such modifications as may be communicated to you in writing.

25. Governing Law

These Travel Booking Terms and Conditions are governed by the laws specified in your Loop Platform Agreement, unless otherwise required by applicable law.

26. Severance

If any provision or part-provision of these Travel Booking Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of these Travel Booking Terms and Conditions.
